1. Definition in these conditions

'Customer' means the person who orders the goods by signing the contract. 'Goods' means the goods that the company is to supply accordance with the sales contract and these conditions. 'Installation' means the installation of the goods.'Panorama' means Panorama Windows Co. LLC

2. Order Confirmation

The Order Confirmation is the basis for Panorama’s delivery of goods and services. The quantity, size, and design of uPVC or Aluminium elements with the mentioned accessories such as fly nets, special equipment etc. type and colour of profiles and glass are binding for the Customer. Therefore, the Customer should within 7 calendar days after having signed the Order Confirmation carefully review the Order Confirmation for possible failures and mistakes and inform Panorama accordingly. Otherwise the Order Confirmation is finally confirmed and binding for the Customer and can no longer be changed. However, should the Customer demand urgent supply of elements with production prior to expiry of the 7 days above, then the Order is finally confirmed at the time of signature.

3. Final Measurements

Panorama will agree a time with the Customer for taking final measurements. If it is not possible to take all measures on the day the Panorama engineer visit the site for taking the measurements as the building is not ready or there is no access to the building etc. then Panorama shall invoice the Customer for the costs of labour and transport for having to visit the site again. These costs shall be paid by the Customer not less than 10 calendar days of date of invoice.

4. Installation

Unless otherwise agreed the windows and doors will be installed according to the standard instructions and methods of Panorama. The installation shall be completed in accordance with the agreed plan. Panorama reserves the right to make minor variation in design and specification to the installation in its discretion if such minor variations are necessary due to factory specifications. If the installation is not completed within the time stated in the contract then the Customer may give notice to Panorama in writing requiring that the work will be completed within such reasonable period as the Customer may specify. In general Panorama would accept six weeks as being reasonable. If the work is not completed within such extended period, the Customer may cancel the uncompleted work covered by the contract without penalty to him or herself by giving written notice to that effect to Panorama. However, Panorama shall not be liable for any delay in the completion which arises beyond the reasonable control of the company. Panorama shall not be responsible for any damage unavoidable caused to fittings fixtures or decoration. 

Panorama cannot be held responsible for any redecoration that may be necessary. If any structural defect becomes apparent during the installation which was not and could not be reasonably identified in the survey which would adversely affect the installation, then Panorama will inform the Customer that the repair work has to be done prior to the installation of the uPVC elements. Panorama will give a quotation for the work and the Customer may ask for a quotation from a third party. The repair work shall generally be commenced not later than 72 hours from the time Customer was informed about the work.

If the Customer asks a 3rd party to undertake the repair work then the Customer shall ensure that the “opening for the Element(s)” after the repair work is the correct size for the already manufactured element.

If Customer agrees a date for the installation or calls the installation team to the building site for the installation and the building is not ready for the installation on that date then Panorama shall invoice the Customer for the costs of labour and transport. These costs shall be paid by the Customer not less than 10 calendar days from date of invoice.

The Customer shall provide electricity, water, and scaffolding if required. Furthermore, for major projects material storage area, room for the installation team on site and working area is to be provided by the Client. Theft or damage of uPVC or Aluminium elements, glass, installation materials, and tools stored at the installation site shall be the responsibility of the Customer, who shall pay Panorama for any such loss and damage.

The installation is based on a one time installation, any part installation is subject to separate charge which is to be paid for in full in advance. Modification of the installation or part of the installation will be subject to an additional charge. Replacement of damaged glazing after installation will be subject to additional charge and availability. Panorama shall remain liable under any warranty or condition implied by law or usage attaching to the goods supplied in addition to any liability under express warranties or conditions stipulated by Panorama.

4. Installation

Ownership of the goods shall not pass to the Customer until the company has received full payment for the goods delivered. Until such times the ownership of the goods is with Panorama.

6. Survey

Panorama reserves the right to cancel this contract, if its surveyor reports that special circumstances would prevent or make it difficult to fulfil the contract. The Customers deposit would in that case be reimbursed in full.

7. Cancellation

The Customer may cancel the contract by given written notice within 7 calendar days after the date on which the contract is signed. In that case the Customers deposit will be reimbursed and the Customer shall have no liability for any costs or expenses incurred by Panorama. If the Customer cancels the contract after expiry of the 7 calendar days after the date on which the contract is signed then the Customer shall pay all costs and expenses incurred by Panorama up to the time of cancellation.

8. Misrepresentation

The representative of Panorama will describe the goods and will detail them in the Sales Agreement. Under no circumstances should the Customer assume that any other product other than those specified in the Sales Agreement will be supplied or fitted. Panorama shall not accept liability for such misunderstandings.

9. Access

The Customer will allow Panorama, its agents and workmen to have access to the premises at all reasonable times. Access should be granted within 5 days of request to enable Panorama to complete its installations in accordance with this contract.

10. Satisfaction

On completion of the installation the Customer shall sign a Completion Certificate to confirm they are satisfied with the installation.

11. Payment

Unless otherwise agreed:

  • 50% of the total order will be payable at the time of confirmation of order,
  • 25% in cash and 25% on a one month post dated cheque at the time of completion of production of the elements prior to commencement of the installation.

12. Outstanding Accounts

Outstanding accounts will be charged an interest of 5% above the Central Bank base rate, except where a genuine dispute exists between Customer and Panorama.

13. Quality

Where any valid claim in respect of goods based on any defect in the quality or condition of the goods or their failure to meet specifications agreed in the Sales Agreement including modifications made by Panorama according to clause 3 above, Panorama shall at its sole discretion replace the goods in total or in part free of charge, or refund the Customer the price of the goods. Thereafter, Panorama shall have no further liability to the Customer. Panorama shall in respect of death or personal injury caused by negligence of Panorama not be liable to the Customer by reason of representation, any implied warranty condition, other term or any duty, under common law, or under expressed terms of the contractor for any consequential loss or damage, cost expenses or other claims that arise out of or in connection with the supply and installation of goods, except as expressly provided in these conditions.

14. Warranty

Panorama provides the following warranty subject to proper maintenance of the elements and lubrication of the fittings minimum once a year:

  • 10 years warranty on all white upvc profiles and Aluminium profiles and panels
  • 10 years warranty on all products against production defects caused by Panorama
  • 10 years warranty on colour coated upvc profiles
  • No warranty on coloured laminated upvc profiles and panels
  • No warranty on Georgian Bars glued on the glass surface
  • The warranty on other accessories shall be identical to the warranty Panorama obtains from its suppliers
    The warranty shall be rendered null and void if the full payment for the products and services are not paid in full according to the terms of the Order Confirmation and if the elements including fittings have not been properly maintained.

15.General

Any occasion, latitude or waiver allowed by Panorama at any time shall be without prejudice to strict and full rights under this contract and shall not prevent the company exercising its full rights. No work shall be done or materials supplied other than as specified in the Sales Agreement. If any provision of these conditions is held by any competent authority to be invalid or unforeseeablein the whole or in part then the validity of the other provisions of these conditions and the remainder of the provisions shall not be affected thereby.

16.Force Majeure

Neither party shall be liable for any failure to fulfil any obligation under this Agreement if, and for so long as, fulfilment has been interfered with, hindered, delayed or prevented by any circumstances whatsoever which are not reasonably within control of such party. This provision shall not apply to any obligations to make payments.

17.Discounts

Any promotions agreed in the Sales Agreement cannot be transferred to other sales or future promotions.

18.Statutory Rights

The statutory rights of the Customer shall not be affected by any term or condition incorporated in these General Terms and Conditions.

19.Miscellaneous

The quantity and size of windows and doors shall be as submitted to Panorama by the Customer, or as measured by Panorama following the confirmation of the order. Any variation in the quantity or size from the quotation will be valued at the same rate as that of the other items quoted. However the variation is less than +/- 50 mm in size then the given quotation will apply.

No accessories such as fly screens, door stoppers, door closer, architraves, Georgian bars etc. are included if not specifically mentioned in the Order Confirmation. The scope of work does not include related masonry or cleaning works of any window or door openings.  Panorama shall not be responsible for bitumen coating of walls prior to installation of Curtain Walls, for glass painting, steel works required for the installation of elements, and any testing after completion of installation.

In the event of delay in site readiness beyond a maximum of 6 weeks from the date of our notification for carrying out required installation, Panorama reserves the right to claim the payment in full. Any damage to material caused by third party working at the site shall be at the sole risk of the client and any costs incurred by Panorama for repair or replacement of parts of such damage shall be paid in full. Panorama will not be responsible for removal and cleaning of paint marks on the elements which have occurred during painting.

The date of completion of work is the date Panorama informs the Customer that the work has been completed and has asked the Customer to sign the Certificate of Completion.

20.Other Terms

All general terms and conditions are included in these terms. No variation of the contact or the General Terms and Conditions shall bind either party, unless such variation is made in writing and signed by a Director of the company.
